As you probably know from me mentioning it every week, Disney is forced to buy out Comcast's stake in Hulu, which will cost them at least $10 billion, and probably as much as $30 billion. Disney has been losing money hand-over-fist -- losing $11 billion just on its streaming service so far -- and has seen its stock value cut in half from its 2020 highs. So they will have trouble financing the buyout. They will either have to give Comcast an absolutely huge block of reduced-value shares, or sell a huge amount of corporate debt. It's probably best for them just to sell off parts of Disney to raise the money. WDW Pro reports that Disney is reorganizing its ads sales to focus on sports (ESPN). Which suggests the sale of ABC is imminent. ++++ I can understand it, both in the general and in the specific. Acquisition is a scary time for employees. They know that nobody buys an enterprise with the intention to change nothing. There would be no point. A company or a person buys an enterprise to make changes. Those changes might be good for you - say, if you work for a midsized or small-large company poised for meteoric growth and the new owner is going to inject capital to make it happen. Those changes might be bad for you - say, if you work for an established, stable company from which the acquirer plans to spin out divisions, trim the fat, etc. But no matter what, there will be changes and at a company like ABC, those changes are going to be of the "spin things out, close things down, trim the fat" variety. The pinkslips *will* rain down. That's always true. Specifically, though, ABC is a news outlet. Their business is not business, but propaganda. What if the new guy wants to make some money? Uh-oh. ++++ Definitely. They *might* not have to dilute share value to make stock a part of the deal. That depends on how much DIS stock is sitting in the company's treasury - owned and existing, but not trading. If they have to issue new shares then that's brutal. Allowing a lot *more* of the company to float will still likely result in a price decline, but it might not be a huge one unless they have to issue new shares to cover it. And nobody knows how much of a discount Comcast will want. I would want a pretty decent discount. If the stock is trading at $80, I might want it priced at $78 for the exchange. That stock is probably going to keep declining, and I would want to take that into account. It's much, much better for Disney to raise the cash otherwise. Interest rates are going up, so debt finance is less appealing and a stock-based deal has its own consequences. Much, much better to sell off assets to raise the money. From 2012 (post-Lucasfilm) through 2018, Disney bought back about $36 billion of its own shares. That is worth much less now - probably between a quarter and a third less all told - but still represents a huge amount. I wonder how much of that stock is still sitting in the Disney treasury. Probably some, but they will have disgorged a whole lot of it as compensation and to buy 20th Century Fox.
I wonder if using "treasury stock" is even an option for Hulu, or if a stock deal would dictate a new issue and dilution. Even if it is, those buybacks were a piss-poor investment. Disney suspended buybacks after the 20th Century Fox deal, so the maximum share price on buybacks was from mid-2018, when the stock was sitting around $105 per share. Back in late (when the post-Lucasfilm buybacks started, which I use as my start date for this), the price was closer to $50 per share. No matter how you slice it, the buybacks were a bad investment (especially because a lot of those shares are gone - spent on compensation and Fox) but depending on when they were purchased vs. when they are traded for Hulu (if stock is involved in the deal), it might not be a paper loss. Wilson strictly segregated the armed forces. Coolidge and Hoover rolled quite a bit of that back. It wasn't a fully integrated force by any means, but it wasn't anything like Wilson's military.

Saw "A Haunting in Venice", which is the third of Kenneth Branagh's Agatha Christie Hercule Poirot mystery movies. Surprisingly, it's the best one so far. The dark, claustrophobic setting in a small Venice palazzo along with a reduced cast really helps this one to work. There's no huge anachronistic foofaraw to try and accommodate woke tastes except maybe having Michelle Yeoh in the cast. Great acting and superior directing all around. Good script. But, you know the dealio-murder happens Hercule Poirot figures it out. This one has a lot of twists and turns. And you may figure out the murderer. I did very late in the story but you won't be able to figure out why till the explanation comes, and even then there's a nice surprise to come, which you probably suspect but won't exactly know what it is. Yeah, they tend to gloss over the fact that the Star Wars galaxy is huge (bigger than ours) and that it takes time to travel from place to place. Of course, that tends to be somewhat boring to show, unless you have some snappy dialogue or interesting side adventures along the way. That's far beyond today's Star Wars writer.
