Disney Is Entertaining a Bid for the Purchase of ABC; ABC "News" Staffers Are Freaking Out

Allen Media Group owner Byron Allen has made a $10 billion offer to Walt Disney to buy the ABC TV network, local stations, as well as the ancillary FX and National Geographic cable channels, a host of reports detailed Friday.
The regional cable company Nexstar is also considering buying ABC. As you probably know from me mentioning it every week, Disney is forced to buy out Comcast's stake in Hulu, which will cost them at least $10 billion, and probably as much as $30 billion. Disney has been losing money hand-over-fist -- losing $11 billion just on its streaming service so far -- and has seen its stock value cut in half from its 2020 highs. So they will have trouble financing the buyout. They will either have to give Comcast an absolutely huge block of reduced-value shares, or sell a huge amount of corporate debt. It's probably best for them just to sell off parts of Disney to raise the money. WDW Pro reports that Disney is reorganizing its ads sales to focus on sports (ESPN). Which suggests the sale of ABC is imminent. Gary from Nerdrotic just claimed that the new Disney "Star Wars" show Ahsoka has ratings that are within thousandths of a point of the ratings for Secret Invasion -- which was Disney's second-worst performing show, after Ms. Marvel.
The bid, confirmed by Allen's representative to CBS MoneyWatch, would include the entertainment giant's ABC's national TV network as well as several regional stations. The offer is "preliminary" and "could change" at any time, a source with knowledge of the matter told Bloomberg. CNN reports a half-dozen people inside and around ABC News contacted by the outlet on Thursday evening made clear a feeling of dread and trepidation is engulfing staffers as they face the prospect of being sold. I can understand it, both in the general and in the specific.
Acquisition is a scary time for employees. They know that nobody buys an enterprise with the intention to change nothing. There would be no point. A company or a person buys an enterprise to make changes. Those changes might be good for you - say, if you work for a midsized or small-large company poised for meteoric growth and the new owner is going to inject capital to make it happen. Those changes might be bad for you - say, if you work for an established, stable company from which the acquirer plans to spin out divisions, trim the fat, etc. But no matter what, there will be changes and at a company like ABC, those changes are going to be of the "spin things out, close things down, trim the fat" variety. The pinkslips *will* rain down. That's always true.
Specifically, though, ABC is a news outlet. Their business is not business, but propaganda. What if the new guy wants to make some money? Uh-oh.

Probably not, but he may be able to borrow enough against ABC and whatever other assets he has to finance the deal.
Whether he can make the mortgage payments with the cash flow from ABC is a different question, especially at today's interest rates. Things could get nasty when he has to roll it over in a few years at whatever interest rates are then.

Definitely. They *might* not have to dilute share value to make stock a part of the deal. That depends on how much DIS stock is sitting in the company's treasury - owned and existing, but not trading. If they have to issue new shares then that's brutal. Allowing a lot *more* of the company to float will still likely result in a price decline, but it might not be a huge one unless they have to issue new shares to cover it.
And nobody knows how much of a discount Comcast will want. I would want a pretty decent discount. If the stock is trading at $80, I might want it priced at $78 for the exchange. That stock is probably going to keep declining, and I would want to take that into account.
It's much, much better for Disney to raise the cash otherwise. Interest rates are going up, so debt finance is less appealing and a stock-based deal has its own consequences. Much, much better to sell off assets to raise the money.

Everything I've heard about Disney+ in India is that it's borderline worthless (customers pay less than $1 per month), and it's mostly covered by having cricket on it.

That was supposition based on the idea that Zaslav wanted CNN to be profitable, the CNN guy said some milquetoast things about regaining a centrist reputation, and the left from CNN freaking the fuck out.

Yeah, they tend to gloss over the fact that the Star Wars galaxy is huge (bigger than ours) and that it takes time to travel from place to place. Of course, that tends to be somewhat boring to show, unless you have some snappy dialogue or interesting side adventures along the way. That's far beyond today's Star Wars writer.

Helped a guy at work who was looking for background on a grandfather based on acronymn on headstone. Was 'construction services'. You dig the trenches! A lot of all black units. Never see anyone digging the trench networks in the movies (probably miners too). That would be a crappy job.

On paper, yeah. It comes down to how much those shares cost Disney when they were purchased. Disney suspended buybacks after the 20th Century Fox deal, so the maximum share price on buybacks was from mid-2018, when the stock was sitting around $105 per share. Back in late (when the post-Lucasfilm buybacks started, which I use as my start date for this), the price was closer to $50 per share.
No matter how you slice it, the buybacks were a bad investment (especially because a lot of those shares are gone - spent on compensation and Fox) but depending on when they were purchased vs. when they are traded for Hulu (if stock is involved in the deal), it might not be a paper loss. Just a gigantic opportunity cost.

The trick is to make it a trademark. Patent has a short life, copyright has a long life, but trademark is forever (as long as you keep it in use). That was why they started cramming Steamboat Willie into everything - not out of nostalgia, but out of a trademark lawyer scheme.

This is an untold tragedy. I grew up listening to vets talk about other nationalities they served with and nothing assimilated the early 20t century immigrant wave like serving together during the war.
Except for blacks. They were segregated thanks to that bastard FDR. I see that as one of the greatest tragedies of post civil war US history.

In the feedback form afterward, I mentioned that it was particularly ironic - as well as deeply historically ignorant - use use a quote by FDR's wife on this topic, as her husband immediately re-segregated the armed forces that had been integrating under Coolidge and Hoover.
Oddly, there were not appreciative of my feedback.

Wilson strictly segregated the armed forces. Coolidge and Hoover rolled quite a bit of that back. It wasn't a fully integrated force by any means, but it wasn't anything like Wilson's military.

The US military did have informal segregation going back to the Civil War era but federal civilian agencies were more or less integrated. Black Jack Pershing got his nickname because he spent time commanding the 10th Calvary (the so called Buffalo Soldiers) and that was pre Woodie in 1892.
Woodie instituted formal segregation of the federal government.

Many don't know, related or not, baseball WAS integrated for most of its early decades, with some power players being instrumental in pushing blacks out. Cap Anson, Charlie Comiskey being two. Last black player (sort of, there were "Cuban" players who weren't really Cuban who stuck around for a while) before Jackie Robinson was active in the 1890s.

I suspect (without have read any real history on the subject) that she (from the "good" branch of the Roosevelt family) made an effort to be ant-segregation mostly to counter his racism and that that caused a lot of tension between the two. FDR was an ass.

Saw "A Haunting in Venice",
which is the third of Kenneth Branagh's Agatha Christie Hercule Poirot mystery movies.
Surprisingly, it's the best one so far. The dark, claustrophobic setting in a small Venice palazzo along with a reduced cast really helps this one to work.
There's no huge anachronistic foofaraw to try and accommodate woke tastes except maybe having Michelle Yeoh in the cast.
Great acting and superior directing all around. Good script. But, you know the dealio-murder happens Hercule Poirot figures it out.
This one has a lot of twists and turns. And you may figure out the murderer. I did very late in the story but you won't be able to figure out why till the explanation comes, and even then there's a nice surprise to come, which you probably suspect but won't exactly know what it is.
Good olde-fashioned time at the movies.

Watched a marathon of Our Miss Brooks Episodes from 1952 to 1955. I watched that show as a kid and loved it. She reminded me of my second grade teacher. Gale Gordon was excellent as the principal. Filmed by Desilu studios.

What's even funnier is that two thirds of the non evil cast are "women" that have some sort of giant knee socks / pool noodles on their heads all the time.
One even has a kid that somehow has normal (for humans) hair, I guess the pool noodles are recessive

Every planet is a few hours flight based on the shows and a fighter ship can fly anywhere it wants with no need to refuel or worry about range, until the last movie or so when they changed everything.
