Is Woke Disney Spooked by Proxy Fight?

Disney is facing a proxy fight from activist investment group Trian. Trian buys up stocks in companies they believe are underperforming, then attempts to force one of their own on to the underperforming company's board of directors, then makes changes to deliver better returns for stock owners.

Reportedly, they've generally been successful in making companies more profitable.

Woke Disney is determined to sacrifice profit and shareholder value to pursue their "Not-So-Hidden Gay Agenda." So they are resisting Trian's attempt to install the group's founder and would-be inside man Nelson Peltz on to the board -- but Woke Disney, of course, doesn't want anything to change. They don't want any outsiders on the board, just Iger's handpicked yes-men. And Disney doesn't want to prioritize profit; they want to prioritize The Message, and if that results in the company and its shareholders losing money, oh well!

Disney is shrieking, "Ignore those profit-focused men who want to increase shareholder value! Stick with us and continue losing money but gaining Young Recruits to LGBT2IA!"

With Nelson Peltz angling for a seat on Disney’s board, the company on Thursday blasted the activist investor, his firm Trian Group, and his son, Matthew Peltz, whom Trian is proposing as a possible alternate candidate.

"The Disney Board of Directors does not endorse Nelson Peltz (or his son Matthew, who is running as an alternate Mr. Peltz may swap in) as a nominee, and believes the election of either Mr. Peltz or his son would threaten the strategic management of Disney during a period of important change in the media landscape," the company said today.

Disney shareholders will vote on the boad of directors at the next annual meeting. The event is usually in early March but may be delayed a bit this year. The company is proposing slate of 11 directors -- it used to be 12 until the retirement of former board chair Susan Arnold. Peltz has gotten himself added to the ballot and the battle, called a proxy fight, is heating up.

The 11 directors with the most votes win, so Peltz has to basically unseat one one Disney’s nominees and has targeted Michael Froman. He is citing Froman’s lack of board experience and urging shareholders to withhold support for Froman and vote for him instead.

Both Disney and Trian are sending all Disney shareholders voting cards with the full list of board candidates and their recommendations. Shareholders can use card either to vote.

Trian has set up a "Restore the Magic" website to explain their dissatisfaction with Disney, and to propose how they intend to fix it.

Note they do not address Disney's woke agenda.

I don't think they want to make this into some kind of political fight.

But surely they've noticed Disney's woke agenda. And surely many of the shareholders have as well.

And many of them have noticed that Disney's share value has fallen by almost half the past year.


In his letter, posted to his website Restore the Magic, Trian targets Disney's board, calling out its declining stock price and earnings per share over the past year, as well as its decision to cancel dividends.

Trying to win over the shareholders, Peltz -- who is worth $1.4billion and currently owns 0.5 percent of Disney through his firm Trian Partners -- writes that 'earnings per share have declined an astounding 50 percent since 2019 because costs have ballooned, even as Disney generated 41 percent more in revenue.'

At the same time, he said, the share price has plummeted 44 percent in 2022.

'For a company with so many advantages -- unparalleled consumer loyalty and access, valuable intellectual property, renowned brands, an enviable library of content and a talented and engaged workforce -- it is disappointing and simply unacceptable that shareholders have suffered so much,' he said.

'We cannot sit idly by,' the letter continues. 'And we hope you will not either.

'If shareholders like us and you remain passive, without demanding more accountability and an ownership mentality in the boardroom, why shouldn't we expect the stock to do anything other than fall back to another eight-year-low?

'As the owners of this great company, we must act,' it says, before touting Peltz's work at other companies including Unilever, Procter & Gamble and Wendy's.

'Nelson is prepared to ask the hard questions at Disney and pursue excellence in strategy, leadership, culture and performance,' the letter continues, claiming: 'Disney's executives and directors do not want Nelson in the boardroom.

'Based on our experience, we believe they don't want to be challenged, answer hard questions or have robust debates. They prefer the status quo.

'But shareholders need someone in the boardroom who is experienced enough, committed enough and objective enough to insist that Disney live up to its full potential,' the letter concludes.

Midnight's Edge discusses the proxy fight below. It's Andrej's speculation that the blitz across all the leftwing trade papers -- Deadline, Variety, THR -- telling investors to stick with Team Woke indicates that Disney is "panicked" about Trian getting a non-Iger stooge on to the board.

I don't think I buy that. Disney would tell stockholders not to vote for the Peltz bid whether they were worried about it or not, and of course Disney's leftwing media allies want to keep the Not-So-Secret Gay Agenda going.

Obviously, it is the recommendation of the Ace of Spades Investment Group that all Disney shareholders vote for Peltz to join the board, or give their proxy fights to Trian so that they can vote for Peltz to join the board.

There are rumors that Woke Disney is considering selling off, depending on the rumor, Lucasfilm or the Star Wars IP, ESPN, or the ABC network. I imagine they'd be interested in selling off Fox studios, once they've extracted the money-making franchises from it. But I don't know who'd want to buy that.

The Fox library minus the big properties (Star Wars, Alien, a few others) are a deep thing that would be great to have in other hands. Not hugely profitable, but a nice steady profit stream for a smaller streamer like Tubi or something.

To add to this, this gets into the nitty gritty of home video, but Disney has finally licensed titles to a third party (Mill Creek) which is, aside for an odd agreement here and there about individual titles (Criterion did WALL-E last year, for some reason), the first major deal they've made of this kind in at least 5 years. They closed up shop to this sort of thing, hoping to get everyone onto streaming, Disney+ loses at least $1.5 billion last year, and then suddenly revenue needs to be found.

Eliminate redundant/excessive costs
Refocus creative engine to drive growth


Emphasis mine. That is a wide-open description, and might be a source of a lot of the discontent with the notion. Content is absolutely on the table. He also wants to be rid of Iger. Not right away, but down the road. They just brought Iger back.

The broadcasters (ABC, ESPN) are probably the most likely candidates for a spin-out. They are probably fairly easily severable, rights for things like home video and streaming can be negotiated into the contract, etc.

Sort of. I think that's actually secondary. They miscalculated the addressable market for woke bullshit. Woke and non-woke alike don't really like the product they're putting out. The product is dog shit. The real problem with that is that the product *has* to be dog shit, because propaganda doesn't make for compelling content that people will willingly buy if given a choice not to.

That's a catastrophic operating error, and one that can be fixed if they can feed other venues like movie theaters. But all they have to feed into the pipeline - whether streaming or cinema or broadcast or cable or radio or whatever else - is more dreck that doesn't do well.

The stat I posted earlier, about Turning Red costing $175 million but only taking in $20 million while Disney+ is deep in the red is indicative of this.

They're putting wildly expensive stuff onto streaming exclusive. They're essentially putting at least $300-500 million worth of new content on Disney+ every month. If they do have 120 million subscribers, those have to be paying an average of at least $3 per subscription for them to just break even on new stuff, and I think the average is actually much lower, something like $1 (promos, other countries being cheaper).

And the operations heads are just saying, "When we get complete market penetration we'll be able to afford it."

They are not monetizing at all beyond subscription, and the content is not sufficient to interest people long term, plus bandwidth is expensive and they aren't clearing enough to make a sufficient margin to keep doing this.

In the end, I think there's gonna be like 3-4 streaming services, and they're all gonna run ads.

It really does depend on their internal accounting system. Cost-based accounting would do it on hours of use, more conventional accounting might do it by # of shows (so 2 shows gets you half, if they offer 100 shows 1% for each).

They tried to monetize it further early in the COVID pandemic with Mulan. They charged people $20 for a rental, and they made $260 million in a week. They didn't need to split that with theaters either. That was straight revenue to them. I think they tried it again with Black Widow, but they never did it again.

They really did everything they could to kill theaters and make streaming THE option for new rollercoaster entertainments. It failed. That's why they released every other Marvel movie to theaters.

I think the most commonly used metric that people report on now is something about percentage of a show actually watched, and then total minutes watched across the entire platform.

I'd be surprised if something like Bluey wasn't regularly #2 or something.

My personal rube's take: Putting Disney's future all into Disney+ will kill the Mouse.

a. Disney now must crap out an endless stream of content that is so mediocre that it damages Disney's once-valuable IPs;

b. Disney will never get a positive return on Disney+ because the landscape is littered with more or less equivalent streaming services that all compete for the same buck, ensuring that the ROE on the Disney crap content pipeline will be negative;

c. Disney has destroyed its ability to produce a cinematic blockbuster because even if it manages to put out a worthwhile film now and again, a large portion of its audience will just wait a few weeks to stream it at home;

d. The prices as the parks, which are Disney's only remaining cash cows, are going through the stratosphere while not enough of the revenue is being returned to maintain and update them. Even Disney's hardcore fan base (who are mostly lunatics, by the way) are getting pissed and turning away.

That depends on a poor assumption. This isn't an unheard of approach: loss lead with a new product in an existing market space, get a foothold, iterate and improve, start ratcheting up the price in the next version. This is essentially the playbook Microsoft ran with the Xbox. The Xbox division lost money on the entire first-generation product, because they were buying market share instead of turning a profit. They got their market share and built the network and got developer support and moved a ton of units, and were able to start making money in gen 2.

The problem with this in streaming is that both the entry *and* exit costs for the consumer are nil. They can - and do - move at will and there is plenty of competition. The customers are free agents. You can't loss-lead to grow the market and then dominate later on higher prices because your customers will just leave. The only way to do it is if there is an oligopoly of 2-4 players who all have equivalent prices.

How much money did the saga make? The same as all The Love Guru and Crocodile Dundee in Los Angeles. Because those people already paid for everything already on the channel. It doesn't even matter how many hours of something they watched, they already paid. Paramount+ makes the same money if a person watches 1 hour or 500 hours.

The only way it can be presumed a show made more money is if a lot more new customers tune in and watch only Sackett shows. If that doesn't happen, there was no increased earning, which is the basic flaw of streaming services. Unless they start charging by the hour, say 25 cents an hour or something.

The average household during the Wuhan Flu panic watched 8 hours a day, so that could add up (its probably half that or less now, of course). But a flat fee? Its not viable, no matter how much customers prefer it.

I watched 3 of them (through the library) because they were on super sale on Black Friday and I was tempted but not tempted enough to blind buy. Spider-Man, Strange, and Thor.

Strange is the only one I'd be tempted to buy because Sam Raimi with a budget is somewhat interesting, even if the movie isn't actually very good.

But yeah, Phase 4, designed before covid hit, was a bust. I think Disney largely broke even on the whole enterprise, but it's obvious that the luster is off the whole enterprise. Kang being the new big bad seems so half-hearted at this point, and it's so odd that Phase 4 just...stops. Without an Avengers movie to cap it like every other phase.

It really does feel like some kind of transition period, but the path on the transition is really wonky and ill-planned, which is such an odd thing to say about the MCU since it seemed so well planned for so long. Maybe...just maybe...Kevin Feige is actually a creatively bankrupt producer who got luckier than any other producer since Louis B. Mayer.

My kids love that movie (though they're too young to understand it). But, that thing had limited appeal no matter what. Given that it was a movie about an Asian family, maybe they assumed it'd make it all back through global receipts but I can't for the life of me imagine anyone thought it had blockbuster appeal.

220 But yeah, Phase 4, designed before covid hit, was a bust. I think Disney largely broke even on the whole enterprise, but it's obvious that the luster is off the whole enterprise. Kang being the new big bad seems so half-hearted at this point, and it's so odd that Phase 4 just...stops. Without an Avengers movie to cap it like every other phase.

It really does feel like some kind of transition period, but the path on the transition is really wonky and ill-planned, which is such an odd thing to say about the MCU since it seemed so well planned for so long. Maybe...just maybe...Kevin Feige is actually a creatively bankrupt producer who got luckier than any other producer since Louis B. Mayer.

Phase 4 was a journey to nowhere b/c no one knew where to go in the woke era. Vader got the reverse treatment. Nothing in the first movie said he was super important. Spat on by Naval Staff underlings though he got even. Subordinate to the Admiral. Went on low level field ops. Had to do defensive fighter ops on a ship.

Then he got popular and became the most important person in the universe. Doesn't fit with the first movie at all.

Trying to cram in the Rise of Darth Vader, exposition for lots of stuff, and lots of battle scenes and action didn't leave a lot of room.

I did like a lot of the exposition and worldbuilding but it probably hurt the experience for a lot of people and diverted the prequels away from the soap opera model.

They retconned Darth Maul's "death" and he didn't really die in Episode 1. He shows up again with robot legs in some of the spin off SW shows and even has a cameo at the end of "Solo".

The rematch between an older Obi Wan and Darth Maul on Tatooine in one of said spin-offs was done well though.

Prior to 2020 Covid, Disney was suing little Angel Studios over some kind of infringement case (an objective outside lawyer said the court case was total BS), who make "The Chosen" streaming video. Last night, the lawyers representing Angel Studios, were talking extensively about what happened in 2019 and 2020. Disney was VERY predatory about this. They wanted to force Angel Studios into Chapter 7 bankruptcy (total liquidation of company and assets) and collect whatever they could. The money was not REALLY important to Disney, but shutting down Angel Studios was.
Then 2020 Covid hit, and Disney was SHUT DOWN and losing $25 million A WEEK. They eventually settled for much less (lawyers changed), and that was that.

Disney is evil. They should be burned to the ground.

I think that's relatively well handled with the overall plot. The Empire literally doesn't have much force-users and has codified targetiing of them. The military despising Vader makes sense. Iirc the emperor being a force-user is a secret?

I'm curious if the woke crowd criticized it at the time, if so it was pretty quiet. The thing is... he already died once. He got dusted remember? For five years he was dead. You'd have though they would have spent all that emotional energy and ritual already when he was, you know, DEAD. But they saved it for when the actor died? It makes no sense.

What they should have done, if they hadn't been halfway through shooting and had their lead actor croak, is write the story this way:

Black Panther is dusted. They have a huge funeral and feel terrible for him. We know how he died, and it wasn't mystery CancerAIDSCovid, it was being turned into ashes by the Infinity Stones. Then you do a story of the power struggle to gain power in Wakanda, since their old system no longer worked -- the magical flowers are gone -- and the dead king leaves a gap.

Someone comes along to exploit this gap, with no king, no Black Panther, and no stability in the nation. Hell even make it an evil white dude who wants to colonize Wakanda if you are compelled to do a RIPPED FROM THE HEADLINES narrative movie.

But don't do Namor. You ruined any chance of that character ever being in Marvel again.

300 Disney was VERY predatory about this. They wanted to force Angel Studios into Chapter 7 bankruptcy (total liquidation of company and assets) and collect whatever they could. The money was not REALLY important to Disney, but shutting down Angel Studios was.
Then 2020 Covid hit, and Disney was SHUT DOWN and losing $25 million A WEEK. They eventually settled for much less (lawyers changed), and that was that.

Disney is evil. They should be burned to the ground.

A major problem in the prequel trilogy is that it contradicts the only info we had about him. "Vader was seduced by the Dark Side of the force" and that OBWan could think of him as a friend.

The prequels made Vader a nasty bit of work and a pain in the ass from day 1. There was no seduction by the force, but just by Palpy. There should be no reason for OBW to say that kind of stuff to Luke about the universes Junior Hitler.

314 Buy the Star Wars IP, retire the current franchise, and start making the original stories into movies. The Imperial Remnant story line with Tarkin as the head of government, the Yuuzhan Vong storyline, the "why are the YV migrating towards the Republic in the first place and what must be chasing them", Luke marrying Mara Jade, (a former assassin who worked for the emporer) and having children who become Jedi, these were outstanding stories and would have made movies for decades if kept around. Instead we got the I-III garbage of non-acting and the VII-IX garbage of wokery. Lots of money to be made and entertainment to be had. Are people tired of SW? I posit that they are tired of woke and garbage SW but would welcome the universe with open arms if done properly.
