Elon Musk Buys 9.2% of Twitter, Becoming Its Largest Shareholder

A couple of weeks ago he put up a poll asking if Twitter fulfills its necessary function as an open market for ideas, and if it was sufficiently dedicated to free speech. He cautioned people to "think carefully" because their answers would be consequential.

70% of his respondents said Twitter does not value free speech.

And now he's the biggest shareholder in twitter, with a stake worth over $2.7 billion.

Obviously he's not a majority shareholder but he is big enough to start making demands.

Elon Musk took a 9.2% stake in Twitter Inc. to become the platform's biggest shareholder, a week after hinting he might shake up the social media industry.

Musk, 50, polled his more than 80 million followers on Twitter last month, asking them whether the company adheres to the principles of free speech. After more than 70% said no, he asked whether a new platform was needed and said he was giving serious thought to starting his own.

I wonder if that was a fake-out. Or... I wonder if he claimed he was going to start a competitor to Twitter to reduce the price of Twitter's shares, so that he could buy his stake more cheaply.

Twitter has previously bowed to pressure from large stakeholders:

Twitter is particularly vulnerable to outside pressure because unlike Google, Facebook, Amazon and Snap, the company's founders don’t have special voting control over its future. The company has just recovered from activist pressure by Elliot Management that started in 2020 which led Dorsey, who was serving his second stint as CEO of Twitter, to set a succession plan.

I can't believe that this is true:

It's unclear what Musk is planning with his stake. The filing with the SEC shows that the date of the event that triggered the disclosure was March 14. The type of form used often indicates the investor isn't seeking to acquire control of a company, or to influence who controls it.

Obviously he has an interest in reshaping Twitter.

"It looks like Elon has his eyes laser set on Twitter," said Wedbush analyst Dan Ives in a research note, adding that the stake could lead to a "more aggressive ownership role."

Twitter's stock price surged on the revelation that Musk had taken a big position in it, which wound up making Musk over a billion in a few weeks:

Musk, already the world's richest person according to the Bloomberg Billionaires Index, has made about $1.1 billion on his holding since mid March, based on the pop in Twitter’s shares in early trading Monday.

Unfortunately, Trump's venture "Truth Social" continues lagging.

Less than a year later, both have resigned their senior posts at a critical juncture for the company's smartphone-app release plans, according to two sources familiar with the venture.
The departures followed the troubled launch of the company's iPhone app on Feb. 20. Weeks later, many users remain on a waiting list, unable to access the platform. Trump Media & Technology Group (TMTG) Chief Executive Devin Nunes, a former Republican congressman, said publicly that the company aimed to make the app fully operational within the United States by the end of March.
The company has an app for iPhones but no app for Android phones, which comprise more than 40% of the U.S. market, though the company has advertised seeking an engineer to build one.

My financial advisors Ryan Long and Danny Polushuk speculated that Trump ordered the site to be launched early, despite it needing maybe another year of development. They believe this because the site "launched," in its fragged form, on Presidents Day.

I'm on Truth (after a two week waiting period), but the network effects aren't currently in its favor - even a lot of big-name pro-MAGA people don't seem to be on it. They do seem to be making a better effort than Parler did to have non-political accounts though.

This is Musk building a spite house. And it's a spite house in which he's now invested approximately 1% of his net worth - and that stake in Twitter is worth more than Trump's entire net worth.

It pretty much does. Trump's net worth is mostly tied up in real estate. To get a comparable stake he'd basically need to somewhere between all and half of his entire fortune.

Starting a social media company by comparison is relatively cheap.

Private sales. That's how big institutional investors -- or stoopid rich guys -- buy large positions. They ain't making a billion-dollar purchase on e-trade, that's for sure. The sales usually come with additional perks such as board seats, side letter agreements, etc. The other huge investors are generally happy to see someone like Musk come on board because of the publicity and stock price bounce. My guess is he didn't have any trouble finding insiders for private sales.

80 Private sales. That's how big institutional investors -- or stoopid rich guys -- buy large positions. They ain't making a billion-dollar purchase on e-trade, that's for sure. The sales usually come with additional perks such as board seats, side letter agreements, etc. The other huge investors are generally happy to see someone like Musk come on board because of the publicity and stock price bounce. My guess is he didn't have any trouble finding insiders for private sales.

This is true. I looked into the weight loss app Noom, and there are tons of reviews about how there are fewer features and it's very glitchy on Android. The same with a fitness tracker I bought a couple of months ago. It tracks blood oxygen level, predicts your period, automatically logs your workouts on iPhone, but all of those things are in beta for Android and not expected to go live until the fall.

Yes, by "insiders" I meant all huge shareholders with influence over the company. The big funds and institutional shareholders also buy their shares through private sales (including pre-IPO) and get the same perks. It's only the peasants who buy public stock through platforms like etrade.

I highly doubt any of this was "secret" in the inside circle of the company. Private sales of this size would trigger shareholder rights like RoFO, RoFR, etc.

There I disagree. He was well outside what used to be called the "margin of fraud." The "margin of fraud" concept depends on the cheaters doing so in a way that is not obvious. They had to be obvious. They had to cheat openly and nakedly to pull it off. There was no way to mask what they did, and they did it anyway because they thought - rightly, as it turns out - that they'd get away with it.

What 2020 demonstrated was not that Trump failed to overcome the margin of fraud, but that the margin of fraud doesn't really exist. It's undefined - like dividing by zero - but there are no limits on what they can get away with now.

I actually care about what happens there, mainly because of the prospect of taking out a global rival in Russia (and killing off the Russian weapons R and D that China depends on), and making it difficult for the Ukes to be a corrupt conduit for graft and political influence to Western Deep State cocksuckers.

Trump could have handled some things differently, but he DID win outside the margin of cheating. Not likely. Guaranteed. The last time prices decreased was in the 1930s. That's why inflation is such a killer. It's not a 1 time event. That 20% increase will be with us forever. And every subsequent price increase, even if it goes back to 2-3% normal inflation, will be on top of that 20%.

That's not how the Constitution works. The Constitution requires that the states have their Electoral Colleges meet at the state capital in December, cast their ballots, and send them to Congress, where Congress in joint session opens the state ballots on January 6 and tallies them. The states don't even have to have elections, and in the early days of the Republic they didn't. They just have to have a procedure to select an electoral college and send its votes to DC. The states did that and Biden got elected. End of story as far as the Constitution is concerned.

I thought Texas's lawsuit against Pennsylvania was creative, but really Texas has no say in how Pennsylvania selects its electors, no more than Pennsylvania has a say in how Texas selects its electors. If Pennsylvania is hopelessly corrupt, then the system should be self-correcting over time; people fed up with the corruption will move elsewhere and the commonwealth's influence will decline, or the people of Pennsylvania will get fed up and fix it.

Trump won outside the margin of the FORTIFIED/EXTRA cheating the Democrats did with the flooding of swing states. That is why they had to stop counting votes in 6 swing states to take weeks to produce more ballots -- that was Plan B and there was no way for anyone to beat votes collected AFTER the election, as the Democrats had all the time they need to get Biden to the number needed.

That is why the Rs gained in the House (despite all the predictions otherwise that the Dems were going to increase their numbers). When Plan B went into effect there was only time for top line votes, not down ticket.

And the GOP and the judiciary allowed it. That is what kind of corrupt institutions we have in this country.

In Wisconsin the election officials basically turned the election over to a guy from NYC who worked for Zuckerberg and he and his team changed voting laws and vote totals all on their own. In Georgia there are voting districts that went 100 Biden - 0 Trump over and over.

Under Zelensky's leadership the Azov Battalion has been waging war against Ukrainian separatists in the Donbas for years. The death toll is over 10,000 and some suggest it's as high as 15,000. That war has been going on since the 2014 coup and the 2015 referendum voted on by the people of the Donbas for independence.
