Top Investor Tried to Warn Cracker Barrell That Their Abandoning of Tradition in Favor of "The Modern Audience" Was "Folly"

I don't know much about Cracker Barrel. From what I gather, we're watching another corporation with a defined customer base deciding to abandon and spurn that dedicated customer base in pursuit of a newer, different, more diverse customer base.

This has been tried, and tried, and tried, and tried some more, and it fails every time.

Once the "old" customer base figures out that the corporation considers them Undesirable and Deplorable, and would rather go bankrupt than take their dirty traditionalist money, that corporation goes into a death spiral. They can't admit they were wrong, and even if they did, they'd have to admit that their error consisted of disrespecting and disliking the "old" customer base.

Cracker Barrel, I think, had a brand based around comfort food served in a friendly, kitschy style, with the walls covered with tchotchkies suggesting a country/farm-life vibe.

The New and Improved Cracker Barrel looks like the cafeteria at a hospital:

The old logo was indeed a throwback, hearkening back to the days when a corporate logo was actually a logo and not just a word or two in a "modern" font.

Cracker Barrel's rebrand sparks outrage as company's stock plunges


Cracker Barrel's slide into a rebranding debacle began with a phone call at 4:30 p.m. on May 16, 2024.

That day, Cracker Barrel's new CEO, Julie Felss Masino, got on the phone with investors and unveiled the details of a "strategic transformation plan" her board of directors had approved. The first of "five pillars" in the plan would be "refining" and "evolving the brand across all touchpoints."

Over the next months, Masino and her board of directors dismissed at least four warnings by a top investor, Sardar Biglari, that the rebranding was "obvious folly," filings with the Securities and Exchange Commission reveal.

"Cracker Barrel is not a broken brand but it has a broken board," he wrote, in a scathing seven-page letter to shareholders.

He laid out his criticisms in a 120-page slide-deck presentation with the title, "CRACKER BARREL IS IN CRISIS," next to the company's longtime logo of an old man in overalls leaning on a barrel -- a logo that Masino would wipe out, unbeknownst to Biglari at the time.

While the dynamics of company executives pursuing politically correct, woke rebranding are now well-documented, a timeline of the last year-and-a-half behind-the-scenes at Cracker Barrel reveals a classic case of corporate myopia, ignoring caution and barreling forward with rigidity.

On the call in May 2024, Masino announced she'd hired a new "leading" branding agency to "refine and strengthen positioning to delight existing and new guests." The other pillars included "enhancing the menu," "evolving the store and guest experience," "winning in digital and off-premise" and "elevating the employee experience."

Biglari, a San Antonio, Texas, venture capitalist sometimes nicknamed "Big," didn't buy the corporate gobbledygook.

Other investors also didn't react well to the news, the company's share price falling the next day to $48.98.

A series of Cracker Barrel boards and senior executives dismissed him as a wayward "activist investor" with a suspect "ultimate agenda," and his criticism last year fell on deaf ears. Biglari has earned a reputation as a "bully" and "evil genius" with a "Type X" personality, driven by money. Early into his investment in Cracker Barrel, he created a website for his critiques: enhancecrackerbarrel.com. Cracker Barrel responded on a webpage devoted to investors.

The CEO and the board barreled ahead, hiring a new chief marketing officer, Sarah Moore, in July 2024 from MGM Resorts International, doubling down on expensive store remodelings and "refreshes."

Its 2024 annual report, released last September, included a "Diversity, Equity & Inclusion" section, featuring its seven "Business Resource Groups" for promoting "diverse members," Black leaders, "Hispanic and Latino culture," "LGBTQ+ Awareness," military veterans and women leaders.

Hauntingly, in the report, executives warned that "failure to achieve or sustain" its "strategic transformation plan" with the rebranding "could adversely affect our results." They also noted, "Unfavorable publicity could harm our business," as could "activist shareholders," like Biglari.

By Oct. 8, 2024, Biglari had had enough. In his blistering seven-page letter to shareholders, he warned them about the board's "obvious folly," greenlighting Masino and "her new transformation plan." He criticized the board's alleged dysfunction and mismanagement.

"Cracker Barrel is in perilous times," he wrote.

He laid out stark numbers. In 2011, Cracker Barrel reported $167 million in operating income on revenues of $2.4 billion. By 2023, after $1.4 billion in cumulative capital expenditures, operating income had fallen to $121 million, even as revenues climbed past $3.4 billion.

"...the problem lies not in the seating but in getting more people to sit in it," he warned, continuing, "We do not believe changing the furniture and altering the décor are going to change the Company's trajectory or solve the Company's underlying problem of declining traffic."

After the CEO and board ignored his October 2024 warnings, Biglari responded with an even sharper two-page critique on Nov. 13, 2024. "If you had $100 in Cracker Barrel stock in January 2019, five years later it is worth about $30. Therefore, there is just $30 to go before the entire investment is lost," he wrote.

Instead of correcting the company's course, he alleged, board members circled the wagons around the management team. "They value collegiality over accountability," he wrote.

He described the "transformation" as a "mistake" of misguided executives falling into a "textbook trap of overspending on cosmetic remodeling."

He noted, a bit humorously, "The day Cracker Barrel opened," in 1969, "it was already old -- its theme derived from the 1920s. I am concerned that not only will the remodel not work but it could actually damage the brand further."


The Woke CEO, who wears Progressive Politics Signalling Mega-Glasses and looks like a Queefier Marie Harf, says the "overwhelming majority" of people "appreciate" their hard-gay rebranding, implying that it's only a tiny minority of angry noise-makers who don't like it.

They tried this with Marvel, Star Wars, and Bud Light, too.

"Tiny minorities" don't cause brands to lose $121 million.

CB also doesn't serve booze. That's not a concern for breakfast customers, but for a big portion of the dinner crowd (and again, especially younger customers) that's a deal-breaker. Plus, restaurants make a lot of money on booze.

CB was in deep shit before the rebrand. The rebrand was pure desperation. I suspect it's a dead cat bounce to try to lure in some loans/investment to keep the titanic afloat for a few more years -- and keep the fat executive salaries being paid -- as well as funnel money to marketing and other firms for nice kickbacks and because your cousin owns it.

Now there are many reasons for me NOT to go and I would actively avoid it.

Cracker Barrel looked much more interesting before. And if the older folks in a church booth at a 4-H/ agricultural fair In NJ were talking about this ( and they were, and it wasn't even the booth I was sitting at) this decision to destroy the unique character has a whole lot of people upset, and I haven't eaten at Cracker Barrel in many years - just because I'd have to travel about 40 minutes to get there- and no, I won't go back.

families around me still went there for brunch/breakfast - that was their niche here.

OTHER locations (like off interstates) it was different. so they could have maybe split into "brunch experiences" and full breakfast/lunch/dinner ones at the interstate stops.

lots of options to keep it going sensibly. this is just off the top of my head and Im a design/storyboarding type CD not a copywriter/branding one - they'd have way better ideas.

be curious to see the breakdown of where they were failing the worst and doing the best ...

They have a Cracker Barrel near me, but I’ve never wanted to try. I’ve heard the food isn’t that great, and if I wanted southern food it’s all around me.

I think they changed decor just to save some cash.
It’s gotta be expensive buying all of those Americana antiques, signs, and knick-knacks to fill the walls up on every location.

47 The menu at Cracker Barrel could have been "Gordon Ramsey'd" and that would have helped--perhaps a few less items and a smidge more spice/taste. Have a low end and some upper end items and sustainable pricing.

50 In fairness, that pic of the remodeled interior may just be a demo. There are pics online of actual remodeled stores, and they are much nicer. Sorta like the old CB but sleeker and less cluttered.

I've only been to CB once in my life (it was OK but nothing special), but it appears from online photos that there is quite a bit of decor variation from store to store.

It's not a franchise with very strict design elements.

I am not sure what they were going with, but this would normally mean they would be harnessing technology to grow brand, recognition and sales, but also would mean their technology infrastructure would be scalable to business growth (pos systems, accounting, sales, etc) and secure. Off premise would normally refer to something like data storage - owning it or using an Amazon system where you don’t own it and limit financial investment.

I have found that higher quality food from local eateries costs roughly the same as Fast Food these days. Or, at least close enough that it is patently insane to eat FF of any kind, these days.

CB was in deep shit before the rebrand. The rebrand was pure desperation. I suspect it's a dead cat bounce to try to lure in some loans/investment to keep the titanic afloat for a few more years -- and keep the fat executive salaries being paid -- as well as funnel money to marketing and other firms for nice kickbacks and because your cousin owns it.

But regardless, a very high percentage of dinner customers wants at least wine or beer, and it's a big profit center. A restaurant that doesn't serve booze is at a very significant competitive disadvantage.

This is because all those things hanging were actual antiques, so no 2 stores would be alike.

This might be an unpopular opinion, but this is a restaurant environment. All of those things on the walls would be…gross. There could have been a way to update, which is something all restaurants do, but not quite so dramatically. Maybe keep the majority of the stuff on the walls, but behind shadow boxes, and not in such a sterile and linear way as the model invokes (and is frankly lazy design). The exterior upgrades to the restaurant is probably the more egregious part- that looks exactly like the exterior of Chipotle and Starbucks. They could have refreshed and modernized in a far more subtle way, to include the logo, but leave the country store vibe going. With the money saved, they could have focused on back to basics menu with quality improvements.

Correct. Plus, the more food you serve, the more drinks you drink. That's why bars serve small plates. They are not making any money on the plates, and are probably losing it. But having food keeps people there longer, and drinking more. The profit margins on booze are insane.

Inflation like we've had causes costs to compress. When employee wages go up, and transportation costs go up, and energy costs go up, that's the same dollar increase whether you're shipping and cooking and serving a ton of dry-aged wagyu filet or a ton of Mac-n-Don's extruded beef-like patties. You can only cut so much cost out of the actual product.

About 25 years ago I bought a partial set of Martha Stewart dishes at a garage sale, and in the following 15 years managed to break all but one plate, and one cup.
The cup is in the cat food kibble bin for quick measuring, and I just broke the last plate yesterday.

Here in Central Calif, we had Cracker Barrel, Black Eye Pea, and Black Bear Dinner... who were essentially clones all going after the same diminishing market. All 'Country' Food, with Country aesthetics.... essentially Southern Country aimed at Whites and Blacks.

Prob here? That is a diminishing % of the population base... and the customer base that might support that demographic, aging native born Americans, can't afford to eat out due to living on fixed incomes after a bout of high inflation.

Providing good food.
Giving the customer choice.
Good service.

But also:

Making sound leasing decisions and negotiations.
Same for purveyor and their products, pricing, and service.
Employee relations to get the best people.

Miss Woke Smart Glasses doesn't have any of those.

If you wanted to save kompromat without facing obstruction charges, etc., what safer place than a communal agency burn bag secured area.

Late to the party, but I came here to say pretty much this. That logo rebrand would not have gotten past initial review from me (four-decade Graphic Designer/Art Director/Print Production pro).

Yes, the core clientele is starting to drop off, but there was no need to do the total rebrand. But it is endemic in my industry — the neotenate queefers took over a long time ago. I just focus on my little slice of the ad world and watch it all go to Hell....

397 Haven't read through the comments, and haven't been to a Cracker Barrel in 20 years since there ain't none up here.

The draw of Cracker Barrel was consistently good food in solid portions in a homey setting. No matter which CB you hit, you were getting good country fried steak, good biscuits, good gravy, good mac n' cheese, good cobbler, etc. If you didn't want to risk eating at a diner, CB was your alternative and you'd never go away disappointed.

I'd almost always prefer a little mom n' pop place by myself, but when you have a family, it's easier to go where you know what it is. And if you had a hankering for grilled sourdough, you had your spot.

I get that most restaurants are struggling now with food prices, a struggling economy and the fact that young people are apparently too fucking nervous or lazy to eat out. But maybe making yourself into the same thing as everyone else ain't the way to fix it.

Hell, the best part of a trip to Cracker Barrel was wandering around the country store section of the place while waiting for a table or after finishing your meal. 457 393 Late to the party, but I came here to say pretty much this. That logo rebrand would not have gotten past initial review from me (four-decade Graphic Designer/Art Director/Print Production pro).

Yes, the core clientele is starting to drop off, but there was no need to do the total rebrand. But it is endemic in my industry — the neotenate queefers took over a long time ago. I just focus on my little slice of the ad world and watch it all go to Hell....
