Disney Under Criminal Investigation For Violation of Florida's Law by Former Board of Reedy Creek Improvement District

The Disney-owned and operated Reedy Creek Improvement District was previously violating Florida law by paying their municipal employees with "gift" passes to Disney's parks.

Gift passes bought from Disney -- with public money.

Apparently this violates Florida law about the compensation of public employees.


Already involved in two lawsuits with Disney, Gov. Ron DeSantis' appointees to a board that oversees Disney World's governing district on Monday launched a battle against the company on a new front -- free passes and discounts for district employees.

Board members of the Central Florida Tourism Oversight District submitted a complaint to the state Inspector General, claiming that the millions of dollars in season passes, as well as discounts on hotels, merchandise, food and beverages, that their Disney-supporting predecessors provided governing district employees amount to unethical benefits and perks.

Last year alone, before the DeSantis appointees took over the governing board and it was still controlled by Disney backers, around $2.5 million in discounts and passes were given to district employees and their families, the board said in a news release.

The arrangement was self-serving to the company because it funneled money back to Disney, with the district footing the bill, the release said.

So the Disney-dominated board was sending money to Disney to buy their passes, then giving them as compensation to employees like firefighters.

Below the fold, a legal observer says that only 40% of the employees given this "gift" used it. So Disney got 100% of the money for the passes, but only had to dish out 40% in services in return.

He also says that this is clearly a violation of Florida law. I don't know Florida law at all, but he seems very certain.

He also says that this is just the tip of the iceberg, and seems certain that a lot of self-dealing behavior will be made public in the coming months.

One point I heard people talking about a while back was the Reedy Creek Improvement District's issuance of municipal bonds. Municipal bonds offer buyers lower rates than, say, corporate debt -- and they still get bought, because they're free of federal and state taxes. A municipal bond offering a weak 2.5% interest rate, but without any taxes imposed on it, may look more attractive than a corporate bond at a 6% rate which is taxed.

This allows municipalities to finance their projects cheaply -- the lower the rates they have to pay out, the cheaper their financing.

The problem -- at least as I've heard; I am not acquainted with this matter at all -- is that the Reedy Creek Improvement District may have been issuing debt which was really for the benefit of the Disney corporation, and not the municipality called the Reedy Creek Improvement District itself. This would be a benefit to Disney, as they could finance their own projects at the lower interest rates people will accept for tax-free municipal bonds.

It would also be self-dealing. It would also be, maybe, illegal.

I don't know if that's the kind of thing the commentator "Legal Mindset" has in mind as the rest of the iceberg we're not seeing yet, but that would be my best guess. He mentions that Disney routinely acted as if they were the administrators of the RCID, making decisions for the RCID, and not bothering to even pretend that the Disney corporation and RCID were two different legal entities which are supposed to have their own independent objectives. I know other commentators have pointed out that Disney's loss of control of the RCID will result in their books being opened and 70 years of possible self-dealing by Disney coming to light.

Meanwhile, Disney flirted with a nine-year-low yesterday.


Shares of Walt Disney Co. closed at their lowest level in nearly nine years Thursday, and even there they may not be cheap.

The media conglomerate's stock remains under pressure amid a host of challenges, and KeyBanc Capital Markets analyst Brandon Nispel still views it as expensive relative to peers, despite a selloff that has taken the share price down 59% from Disney's DIS, -3.91% all-time closing high established in early 2021.

"From our point of view, Disney has problems across just about every one of its businesses," Nispel told MarketWatch. These include a declining linear-TV business, a complicated shift toward streaming, an underperforming studios unit and a comedown for the parks business as the initial period of postpandemic exuberance wanes.


Disney's troubles in linear television and streaming go hand in hand. Pay-TV subscribers are declining at a 6% to 7% rate, weighing on advertising and affiliate revenue. Meanwhile, media companies bled dry their linear offerings in pursuit of streaming success, but the streaming business has been unprofitable, something companies are trying to reverse.

True, but I don't think that was the point. The actual point is much worse.

A lot of Disney employees in Florida get park access of some kind as an employee perk. It's not always an annual pass, but it's something. I think that rather than self-dealing for financial gain (the amounts involved aren't that great), this was rather an attempt to put RCID employees at parity with Disney employees. Disney employees get parks access, so RCID employees get parks access.

Why would Disney want that parity? That's the rub. I think this is far more an example of evidence that Disney treated the RCID as a subsidiary operated by, for and in the interests of Disney than it is an example of nefarious self-dealing. Disney thought of the RCID as being part of Disney, they ran it like it was a part of Disney, and they gave the employees of the ersatz subsidiary the same perks that employees of the parent company got.

That's a much more serious problem.

And that is why Disney is probably intensely worried about these probes. Right now, Disney isn't implicated in anything. This is an investigation into the RCID, based on RCID conduct and misappropriation of funds. That (technical and hypothetical) firewall between RCID and Disney means that Disney shouldn't really need to worry about this - yet it is worried about it and so is the market. So why is that?

Because this probably *is* just the tip of the iceberg, and gives the state cause to go looking to what else was going on - like Disney running the RCID as its own private government. Hell, the RCID's legal council was also simultaneously a Disney lawyer on both sides of the contracts.

re: muni bonds -- yes, this is a well known accusation. I'd say it's pretty much proven that Disney was issuing municipal bonds in the name of the municipality to cover their own corporate expenses. I'm not sure if it's illegal, to be honest. And the money is fungible, so it's really hard to say "that specific $100 million from the sale of bonds went to paying the promotional expenses of Mulan" -- but Disney certainly has "pierced the corporate veil" as it were with their former municipality.

So is a massive refactoring of tax rates, and the possibility that some of the RCID's "municipal" bonds getting converted to Disney bonds and put back on the company where they belong. So is a lawsuit by RCID bondholders that could be extremely - perhaps catastrophically - expensive for Disney.

The municipality is it's own legal entity. The accusation is that Disney was selling these packages to the municipality to be given to their employees as perks. (putting aside whether that is legal or not) But more than half of the employees never even used the perks.

Clearly Disney was just transferring money from the municipality to their theme park division of the company. Which in most contexts would be... theft.

There is a third party, and that party always makes things more expensive, but it exists to have another set of eyes to make sure public accommodations meet a certain standard. Right, wrong, or indifferent.

Disney, with Reedy Creek, bypassed all that. Disney, with the acknowledgement of Florida, built the equivalent of a Company Town. And they have folks, like my sister, pining for an idea of Disney that doesn't exist and they don't live in.

That's what DeSantis is dealing with. Imagine a company town with folks that still want to visit it twice a year. That's a license to steal. That's Disney.

I'm pretty sure the cruise line is all profit at this point, plus their parks aren't limited to just FL and CA.

The real problems with Disney are where the IP originates right now (all of the new entertainment delivery from the product to the method of delivery), and that's a massive long-term problem brewing.

They're already doing this, by putting in wattage regulators for the lights. It's been going on for years, but the regulators are usually the first thing to fail, which causes flickering lights. So you just bypass the regulator (I've done this several times over the past 10 years).

There's basically no way to make the motor more efficient, all you can really do is swap in a lower RPM motor so the fan doesn't turn as fast.

If they want the bonds issued as tax-exempt, they really can't cross that line between the park and the infrastructure around it.

I seem to remember they issued some TAXABLE munis where the line is blurrier and no one really cares. But bond lawyers read these documents very carefully (or at least they did--nothing seems to work like it did once,) and the penalties for using tax-exempt proceeds on for-profit projects are pretty stif.

There are arguments on both sides.
-Patents are quid pro quo, - the inventor gets protection, the public gets documentation of the invention.
-Copyrights the public gets nothing since they have to publish to sell.
-But also, art is worthless and it is not like someone is going to improve on a cartoon and cure cancer.
-The 20 years is seen as a minimum incentive for people to keep investing in new technology. You could argue that no one writes a song because they want those residuals 20 or 90 years out.
-But the US (for a long while) was the king of culture and why not force foreigners to keep paying for our stuff.
-But for some reason we allow those countries to steal our stuff without paying a dime.

As you say, the clock starts running at filing. Now, under the America Invents Act, the filing will take place as soon as someone has an idea (because patent rights go to whoever files first; it used to be whoever invented first, which led to interference practice).

So companies will file as soon as they get the gleam in their eye so that they're not working on something to which someone else will own (patent applications are not published until 18 months after filing). That means that all of the R&D is performed while the patent clock is running. For pharma, it is rare for a product to have ten years of patent life left; five years is pretty common.

Which is why on-patent drugs are expensive in the US; companies have to recoup all of their sunk costs here, where prices are not fixed, unlike the EU and Japan.
