Elon Musk Offers to Buy Twitter Outright, Offering a Premium Price of $52 Per Share, For a Total Purchase Price of... $43 Billion
Twitter's board of directors now is deciding whether or not to accept the offer on behalf of shareholders. This would be a big win for shareholders -- but of course, the board wants to keep their jobs, and their positions as the nation's censors.
They have legal fiduciary duties to act in the best interests of shareholders, however -- not themselves. But they are surely attempting to contrive a definition of "shareholder interest" that aligns with their own interests. And their political interests. Which is not a legally recognized part of shareholder interest, which is defined as economic interest. As a friend suggests, they are probably talking with lawyers right now asking if they are allowed to refuse an offer that's good for shareholders "because it protects transgender kids and that has intangible value" or that kind of bullshit. AP:Tesla CEO Elon Musk is offering to buy Twitter, saying the social media platform he has criticized for not living up to free speech principles needs to be transformed as a private company. Twitter Inc. said in a regulatory filing on Thursday that Musk, currently the company's biggest individual shareholder, has proposed buying the remaining shares of Twitter that he doesn't already own at $54.20 per share, an offer worth more than $43 billion. Musk called that price his best and final offer, although he provided no details on financing. The offer is non-binding and subject to financing and other conditions. "I invested in Twitter as I believe in its potential to be the platform for free speech around the globe, and I believe free speech is a societal imperative for a functioning democracy," Musk said in the filing. "However, since making my investment I now realize the company will neither thrive nor serve this societal imperative in its current form. Twitter needs to be transformed as a private company." Twitter shares rose to $47.83, up 4.3% but well below Musk's offer price, a sign that some investors may doubt the deal will go through. The stock is still down from its 52-week high of about $73.The left is obviously freaking out.

Yesterday, in what I thought was a somewhat striking added comment to his typical brief daily statement, the MOD spokesman Konashenkov said that if Uke attempts to attack targets in Russia continued, Russia would respond with attacks on central targets in Kiev, from which it has thus far "abstained".
Two previous Uke attacks on Russian side I know of. Imagine the overall mediocre performance of Russian military in Ukraine thing has not left any tolerance for actual attacks on Russian soil in Kremlin leadership - they won't be in the mood, and the uniforms will have to do something. Not an exchange the Ukes should really try to get going, but they wouldn't be where they are if they were savvy about things.

If you are, say, a special purpose fund or pension fund manager with a certain amount of Twitter stock in the portfolio, then often you have certain required margin or return on investment rules to abide by. In other words, if the offer by Musk is something that triggers that ROI rule, I am not sure that you get to say that you declined to take a mandated ROI because you hate the offeror - you're opening your fund up to loss liability.

Intrinsic value isn't some sort of lefty thing. If a stock's intrinsic value is 50, and it's selling for 40, you buy. Or if it's selling for 60, and the intrinsic value is 50, you sell. It just means what something is worth (as opposed to the current price).

As we discussed yesterday on the Art Thread, there is some disagreement on what is a fedora vs. what is a trilby. "Trilby," I think, is more the Brit term for the hat we call a fedora. It's just that the brim on a trilby is pretty much always short, 2" or less. A fedora can range from there up to 3" or 3 1/4". Beyond that I think you're into cowboy hat territory.
Sinatra's hats were always in the current style, wider brim or shorter depending on fashion. Landry's hat was a short-brimmed fedora you can still buy, the Stetson Saxon, w/ a 2" brim. Both fedoras.

No book value is an accounting thing(and may or may not be meaningful, and actually does include "goodwill" as an asset, but goodwill is also an accounting thing created in acquisitions).
Intrinsic value is typically based on assumptions regarding future earnings. It's just what an investor thinks something is worth. I could say the intrinsic value of twitter is 20, based on my expectations of how the business will do in the future, another guy could say 80.

Disagree. If you're wearing a hat then you're outside, so you should wear a jacket as well. Or at least a vest. The only exception would be if you're doing manual activities outside.
