Harvey Weinstein Will Challenge His Firing at Next Board Meeting, Because, Well, His Contract Did Say That Sexual Harassment Was Not a Firing Offense

As disclosed yesterday, The Weinstein Company's contract with Harvey Weinstein made sexual harassment a non-firable offense -- all Harvey Weinstein had to do was pay the company for any money damages his harassment caused them, plus an escalating penalty ($250,000 for the first offense, $500,000 for the second, $750,000 for the third, $1,000,000 for the fourth). So long as he paid the Weinstein Company its actual settlement costs plus some money to make them feel good about permitting sexual harassment, everything was cool.

To be fired, he'd have to be indicted or convicted of a crime. Which he hasn't been. So far.

But... in the aftermath of the rape claims, the company did fire him.

Which doesn't seem like they're allowed to do. Given that they wrote him a contract specifically allowing him to molest to his heart's content, so long as he didn't get arrested for it and kept paying off the company for the hassle.

So Weinstein might challenge his firing -- and he might actually be in the right, as far as that goes.

We're told Weinstein's position -- he did not violate his current contract, which he signed in October 2015. He maintains no sexual harassment complaints were lodged after he signed the contract. We're told TWC never gave Weinstein it's reason for the firing.

What's more, we're told Glaser will argue Weinstein could only be terminated after mediation and arbitration.

We're told the company's position is that it had a right to fire Weinstein immediately and he has a right to challenge the decision in mediation and arbitration.

That last part makes no sense to me, but who knows. This is a very special kind of contract.

Here's the thing, though: There may not be a Weinstein Company even in existence within a few weeks.

The company is likely to become bankrupt due to creative types refusing to work with them, and talent agencies barring their own roster of creatives from working with them.

Agents did not want to be on record, but reactions ranged from not wanting to risk the wrath of clients in the event of more fallout by putting them into TWC projects, and others said that if there was evidence of Weinstein benefiting directly or indirectly in projects, the agencies wanted no part of it. They felt even a re-branded company will carry a tarnish, and hoped that projects would be sold off.

Some writers are demanding that projects currently being developed by The Weinstein Company be released back to them, so they can take them somewhere that isn't associated with institutional molestation.

An employee of TWC reached by Deadline would not speak on the record, but described an office environment where already flagging morale has curdled into anger at Weinstein for acting without a thought to the consequences for the many troops charged with executing his vision. The growing consensus is that job security is tenuous at best.

...

A second chance seems highly unlikely, at least in any version of the company that has existed over the past 12 years. One high-level media executive likens the situation to "a run on the bank." The person expounded to Deadline, "Banks arenít going to continue to lend to them. You have agencies saying they will not allow talent to appear in their movies even if they re-brand. The equity is likely to get wiped out."

Bob and Harvey Weinstein together have a 42% stake in the company, so they'll get 42% of whatever assets remain in the company if it dissolves, but as far as a salaried job, I don't think the company is going to be providing salaried jobs for anyone for much longer, let alone the guy who blew it all up.

Update: Just reported: Weinstein Company facing either a sale or a shutdown.

The Weinstein Company is exploring a sale or shutdown as it reels from the fallout of allegations of serial sexual misconduct by its ousted co-chairman Harvey Weinstein, The Wall Street Journal reported on Friday.

The film and television studio is unlikely to continue as an independent entity, the Journal said, citing a person close to the firm.

I love movies, but they're a medium, not an industry or Hollywood.

I'm borderline gleeful at the pain being induced on Hollywood right now. Hollywood is largely boring, producing product instead of art (accidentally making some occasionally).

Better to have no center to American filmmaking that controls the American version of the medium.

I watch it suffer happily.

141 Remember this in Britain, 2013?

Following the public exposure of late BBC celebrity Jimmy Savile as a pedophile monster who sexually abused hundreds of children over a period of decades -- sometimes as part of a satanic ring, according to victims cited in news reports -- British police announced last week that the investigation into child sex abuse was widening to include some members of Parliament. However, the police themselves are under fire for declining on multiple occasions to file charges against Savile, whose monstrous crime spree has been called "unprecedented" in U.K. history.

Savile hosted wildly popular television shows for the state-funded BBC and was something of a legend in the United Kingdom -- he was even knighted by the Queen. However, during that time, the DJ and media celebrity had also been the target of numerous complaints over the years from individuals claiming he had sexually abused them. Many people he worked with knew. Despite several police investigations, the pedophile -- who often bragged about his connections in the police force -- was never prosecuted. He died a celebrity in 2011 at 84 years old.

The filth is across the pond too.

Covered up for decades even though people were complaining. Sounds so familiar.

He died before he could be prosecuted.

Remember this?

Bombshell documentary about Hollywood pedophile ring preying on child actors that's been linked to X-Men director Bryan Singer premieres in New York
An Open Secret, by Oscar-nominated documentarian Amy Berg, debuted at the DOC NYC festival Friday
Film claims X-Men star Brian Peck abused a well known child star and got away with it
Among the men named are talent managers Marty Weiss, Michael Harrah and Bob Villard, who represented Leonardo DiCaprio as a budding actor
It also includes interviews with Michael Egan III who accused X-Men director Bryan Singer of raping him before dropping his suit earlier this year
Berg said she has been having trouble finding a distributor for her controversial film

Is Ronan Farrow now some kind of hero of journalistic probity?

Did David Remnick's conscience suddenly force him to decide to pull the rug out from under the progressive left's primary source of funding and propaganda?

Which they always had when that classy old ghey guy was in charge. Hard to understand, until you take a look at the industry profiles of Benny's ancestors and family tree. Pretty sketchy.

241 The Bill Cosby victims tell stories about going to their parents for help, and being told to deal with it. Or not being believed. There is no doubt in my mind some parents suspected things, but the fame & money were too good. Kinda like the Michael Jackson victims...parents were willing to turn a blind eye.

The Michael Jackson stuff makes me sick. He always had kids with him around here. Taking them shopping, buying them whatever they wanted. When Toys r us was closed at night, they'd open the store for MJ and the children he had with him.

243 Getting into the "industry" is very big in my area. There are lots of carpooling trips into NYC for acting lessons, talent related visits, pictures and auditions.

This type of behavior has always been discussed among the parents. Some write it off because they know the principles who live in the area. But that doesn't make it any less dangerous. The devil you know and all that.

I once told them my kid would not be going anywhere without a chaperone. That "chaperone" btw, was former USASOF and wouldn't leave their side. Ever.

They said that wouldn't fly. I said see ya.

But some of them would sell their soul for this, which is sad.

Now ou know why I feel especially empathetic to the victims.

LITITZ PA - More details have emerged in the arrest of a 22-year-old Lititz woman accused of sending a man to the hospital for treatment of an injury to his genitals after an argument in the shower last month. Police say Abigail Geiger, of the 700 block of Wickshire Circle, got into an altercation with a male victim while they were in the shower. During the argument, the victim attempted to leave, but Geiger allegedly grabbed him by the genitals to prevent him from exiting. The victim eventually pushed her away, forcing her to release her grip and causing bruises on her back. The victim then fled the home and went to a hospital for treatment of puncture marks and scratches to his genitals, according to the criminal complaint. Police determined that Geiger was the aggressor in the altercation, and charged her with simple assault domestic violence, according to the criminal complaint.

284 A contract cannot include a criminal act, and is therefore, void. Sexual harassment is illegal, so the contract is void.
Posted by: Very Undude at October 13, 2017 04:46 PM (2X7pN)

Disagree.

First, nothing in the contract compels Weinstein to commit a criminal act. That would be unenforceable.

If the language being circulated is accurate, the contract does two things.

First, it requires Weinstein to indemnify the company if the company pays out (in judgment, settlement or just attorney fees) on a claim that results in a judgment or settlement against Weinstein. Since it is virtually guaranteed that the employer will be sued in these cases alongside the harassing employee, there is nothing unreasonable or even unusual about this.

Second, it penalizes Weinstein by imposing an additional fine payable to the company if Weinstein pays out on a claim to a plaintiff. I don't see a problem with this eitehr since it could be seen as supportive of public policy since it gives Weinstein a financial incentive not to dick the help.

The problem is in the provision that allows Weinstein to stay at the company as long as he meets these other requirements. One could argue that a company (who is jointly and severally liable for harassment along with harassing managerial employee) should always be free to fire a serial harasser. While this provision doesn't make the contract illegal, it will look terrible to a jury. I would not want to have to defend the company on it.

=====
No it is not. It is not a crime per se, but it 'against public policy" to contract for a crime. So the contract is not enforceable. In addition in this particular contract incentivized the company to facilitate his actions because they got a bonus for each act and that bonus escalated with each subsequent act. Wow. Sick. Likely criminal culpability. Board members looking a criminal charges. Criminal penalties fines to company.

I worked for a short period of time for the probation and parole system. Among stipulations for sex offenders were no computer, can't live near playgrounds or schools, can't have Halloween decorations up, etc.

I asked one of the judges in whose court I served why these stipulations were in place while we were having lunch one day. He said that they couldn't be trusted around kids anymore. I asked him why we let them out of jail if we fully acknowledge they are not fit to re-enter society. Acquittal is not enough for Roscoe Arbuckle. We feel that a great
injustice has been done him. We feel also that it was only our plain
duty to give him this exoneration, under the evidence, for there was not
the slightest proof adduced to connect him in any way with the
commission of a crime. He was manly throughout the case and told a
straightforward story on the witness stand, which we all believed. The
happening at the hotel was an unfortunate affair for which Arbuckle, so
the evidence shows, was in no way responsible. We wish him success and
hope that the American people will take the judgment of fourteen men and
woman who have sat listening for thirty-one days to evidence, that
Roscoe Arbuckle is entirely innocent and free from all blame.

Agred. I won't politicize this. There is no moral high ground politically. We just know more about Hollywood & dems right now. Hollywood seems more of a concentrated sewer & spews this crap. And it makes sense, since they are actual living it in real life.

382 All Harvey has to do is change his last name to Clinton or perhaps full name to Carlos T-Dog Dangerstein -- and he will be the New Cumback Kid.

383 They're DESPERATE to make it about Trump.

They really are. As I read stuff last night, my heart sank as that became clearer & clearer. They are using & exploiting victims in yet another way. smh

Disagree.

First, nothing in the contract compels Weinstein to commit a criminal act. That would be unenforceable.

==========
See this is how lawyer's get paid. Harvey's lawyer will argue this. The company will argue that the contract unenforceable so we can fire you despite the fact that the contract says we can't.

In the end -- He's gonna stay fired and both Harvey and Miramax are looking a nasty criminal investigation. Such fun!

It's tough to tell if she even acts or not. She has this deeply rooted 'indifference mode' to everything.

I've actually sat through one of her non-porn movies to try to figure it out. Without success.

There are women like this all over. Some of it is the "I had to go through it and deal with it, so you can too." It's pretty disgusting.

The difference in Hollywood is the power & money. The whole thing is rotten to the core. 30 years, books written, people knowing...it's beyond comprehension. Like you said, institutionalized. Normalized. Which is what TV & movies seem to have become. Normalizing destructive, even evil, behaviors.

The banality of evil.

390 have much great news in my on life (in the end stages and it's a dang miracle), but this revealing of the institutionalized pedophilia brings tears to my eyes

I feel like I'm sitting in the middle of an onion patch. But I'm glad I feel that, rather than calloused.

392 Since all the best films have already been filmed and there's really nothing but soft-core porn, remakes, sequels, and comedies left to produce - we don't need any Hollywood tax credits, industry preferences, or any attention paid to those half-treasonous bastards at all anymore.

Let. Them. Wither.

393 A bleg for my fellow Skyrim fans. Do any of you know of a song celebrating the Dragonborn's victory over Alduin? I'm doing a fanfic where the DB's mom is a bard, so I need such a song, but I'm no poet. If any of you feel up to it, I'll certainly give credit, or to any author you point me to, of course.

I'll even settle for some sort of triumphant song from Kipling, but I don't know of anything appropriate.

396 Exactly. This and his wife's divorce is just a way to preserve/shelter cash before the lawsuits are filed.
_________________

He may not have that much cash to shelter. According to the DM, his high-end real estate is heavily mortgaged, and he just had to take out a $4 million, high-interest bridge loan. He recently sold his mom's house at a big discount, and seems to be desperate for quick cash.

As for his job, what is the point of suing a company that Pervy owns half of, and that probably isn't even going to exist a year from now anyway? Any damages he was awarded he would basically be paying to himself, and he won't have the money to pay himself, since his company will have to spend whatever assets it has left paying off all of the lawsuits spawned by Pervy's disgusting conduct. Suing his own company, which he has effectlvely destroyed, is just silly at this point. Pervy just needs to crawl off into oblivion somewhere and pray he doesn't end up doing hard time in some NY prison.

397 Not gonna lie. If HW survives this and starts making movies that go after liberals and their BS I will watch.

With all the new accusations against other actors...sorry WHITE MALE ACTORS...this could be the far far left trying to exterminate all white males and their influence out of the party. Pretty sure that is what Michelle Obama Aka "Orangutan" mentioned in her nasty speech about there being to many "grey" white males.

I know, I know but you say, "these are white women making the accusations". Never trust a liberal white woman...EVER! Their ability to make everything about them and fight for the spotlight is historic.

398 An employee of TWC reached by Deadline would not speak on the record, but described an office environment where already flagging morale has curdled into anger at Weinstein for acting without a thought to the consequences for the many troops charged with executing his vision. The growing consensus is that job security is tenuous at best.

Awww - somehow I can't bring myself to feel any sympathy for what are probably a bunch of liberals.

Me too! I hope he actually wins his job back! It will keep this in the new longer, keep the spotlight in the garbage Hollywood is and maybe a few more rats scurrying around will bring some other big names down in the process.
A side benefit might be some of these Hollywood limo libs will keep their mouths shut for a while.
I'm personally waiting for the Jimmy Kimmmel scandal to break.
