Paramount/Skydance to California: Drop Dead

Paramount is being bullied by California AG Rob Bonta in a lawsuit 12 other left-wing AGs have joined to stop Paramount's acquisition of Warner Bros. As I've mentioned, they are animated by the all-but-admitted position that conservatives just aren't allowed to own major media companies, or just non-gonzo-liberals, as David Ellison seems to be. They are blocking the completion of the purchase so that the company they prefer to take over Warner Bros., the super-left-wing Netflix, can buy it instead.

Which shows their complaints about anti-trust and "reducing competition in the industry" to be, as usual, communist lies.

This is a particularly bad hostage situation for Paramount, who, as part of its offer to buy Warner Bros,, promised to pay Discovery Warner shareholders seven million dollars per day if it was not able to complete the purchase by October 1. Rob Bonta and his Soros AG goons are trying to delay this to either punish Paramount for daring to be owned by a non-liberal, or punish them so badly they agree to undo the deal entirely.

In response, Paramount threatened to leave California and take Warner Bros. with it. A move that some estimate would save them a half a billion per year in taxes.

They said they would move their corporate headquarters by October 1 unless Bonta and the League of Soros AGs allowed the sale.

Now Paramount is showing that they're not bluffing.

Paramount Skydance is actively looking for office space in Nashville -- a sign the company is seriously considering moving at least some operations from Los Angeles amid the legal fight over its purchase of Warner Bros. Discovery, according to two people familiar with the search who were granted anonymity to discuss it.
Paramount, headquartered in Hollywood, has sought about 400,000 square feet of space in the Tennessee capital that it could move into in two to three years, according to one of the people. However, no existing building there has a vacancy that aligns with the company's needs and timeline, the person said.
Representatives of the studio have also reached out to at least two real estate developers about constructing new offices in Nashville that the company could occupy in three years, the person said. Paramount representatives were recently shown a vacant multi-acre parcel outside of downtown Nashville where the company could build new headquarters, according to the other person with knowledge of the matter.

"His intent is to be committed to California," Paramount Chief Legal Officer Makan Delrahim said of Paramount Skydance CEO David Ellison at POLITICO's The California Agenda: Sacramento Summit in August. But, Delrahim noted, "There is a point at which you have a fiduciary duty to shareholders."

"We cannot comment on a company's plans," Bonta's office said in a statement. "It's no secret that Paramount has been making this threat, despite its alleged commitment to California and Hollywood. What Paramount decides to do is Paramount's choice alone. We'll continue to apply the law without fear or favor and continue to be open to coming to the table for good faith discussions."
The lawsuit is scheduled to go to trial in March. Starting in October, Paramount will have to pay roughly $7 million for each day the $111 billion deal remains incomplete. Regulatory agencies of more than 60 countries and jurisdictions have approved the merger, and the U.S. Department of Justice approved the sale in June.

I thought that Nashville, not Austin, would be the city Paramount/Warner Bros. moves to. Because it has long been the capital of the country music recording industry, it already has the infrastructure needed to support entertainment types, by which I mean, a robust cocaine distribution network and discrete high-end prostitutes.

The move could be so disastrous for the already-desolated California that even Gavin Newsom and Karen Bass are calling for a "compromise" settlement. I don't know what they have in mind, but I would guess they want a guarantee that Paramount/Skydance will sell CNN, HBO, and CBS to friendly leftwing interests. There is no way Paramount/Skydance would sell HBO or CBS, but I imagine they already plan to sell off CNN.

6 It's not like LA is a shell of the movie industry, having exporting at least half of all of its filming to places like Georgia or Vancouver over the past 30 years because actually filming in LA is stupidly expensive, or anything.

No way that studios have been making plans to do this forever, that there isn't already an infrastructure around Atlanta, or that a state like Texas wouldn't mow down any regulatory hurdles to get a huge movie studio HQ outside Dallas.

1st, the tax base changes. From industry and commerce to social services and support of those on transfer payments. (school, criminal justice, retail...)

2nd, the new people elect anti-industry government.

In some places, like NY and LA things are more complicated, but what has destroyed our cities is that first they chase out the industry. High taxes, high regulation, union friendly, bloated government, ... then the tax base that cares about this stuff leaves.

The problem is these cities get too much money from state, federal grants, welfare payments to citizens, and billionaires in industries that are isolated (finance, silicon valley, Hollywood...)

I had the same expectation, but because of the work culture. Part of what made Hollywood work was its vast network of every kind of craftsperson to build sets and operate equipment, with punctuality and professionalism. And Nashville has a pro culture, where the machine needs to be fed, and musicians know to show up and play without drama.

Austin, I believe, does not. It's practically a "sister city" with Portland and Brooklyn, from people moving between them. It would not have met the hidden greater need for a stable cadre of pros, and cultures are fiercely resistant to change.

Depends on the laws of the origin state and the destination state. There are two moves. Moving operations or headquarters and changing the state of incorporation.

When they move operations they open offices, move assets, update addresses, and register to do business in the new state.

Changing the state of incorporation changes which state's corporate laws govern the company. If both states allow it, there's a redomestication process dictated by law. If that's not allowed by one or more states, they can form a new company and merge the old one into it. There's also the option to dissolve the original company and form a new company. This is a last resort and not usually recommended.

I think when they went national they changed some of the things that made them exceptional, probably cheaped down on a few items. But their aged cheddar is still world class. And their flavors for ice cream are also wonderful.

Then again, I lived in Wisconsin and ate things like Carr Valley cheese. It is superior in every possible way.

But for the west coast, Tillamook was the best.

Mmmm bread cheese.

I have an electric skillet with a nonstick finish. Super cheap from Freddie's, but it really works to heat up the bread cheese. We refer to the skillet as the baconator (HT Bob Uecker), but it really shines when making bread cheese.

Now I really want some.

152 An Observation --- Please do not take this personnally, but attempting an analogy of AI using sundry PC developments is something of a hand-wave dismissal.

It's a bit (a pun!) like a 110 baud modem user trying to imagine the Mbps comms that we are using as we sit here. Or, a 1970's automobile driver imagining a self-driving automobile.

I think the self-driving automobile is a good example. Does one prescribe the route to be taken? No. That decision is made by the agent. Thus it will be with the thousands of AI 'decisions' that will be made in the future, without any sensitivity or human judgement, and *very* potentially without recourse.

This is just a one paragraph thought. All that glitters is not gold.

But, Nashville has literal sluices of entertainment money gushing through it.

I figured it was more of a competition between them and Atlanta. Atlanta has way more film production already in place. But TN has a better tax environment and more stable government than GA.

I'd think TN might be an advantage to have different biomes available to shoot in that don't scream "California" or "Texas". I still remember shots supposed to be in the midwest that looked nothing like any place in the midwest.

157 The absolutely best ice cream I have ever had is from Sassy Cow in Columbus, WI. It's a family farm. I took the kindergarten kids there for a field trip and they had the kids visit the baby cows in the shed out back. Then they got to see how cheese is made, and ice cream, and then of course the sampling.

WI still knows how to dairy.

Are you talking about pre-shredded cheese? I'm looking at a package right now and it says 1g carbs per 1oz serving. I found more nutrition info online and it all says the same. Pre-shredded cheese has anti-caking agents that'll increase the carbs per serving.

Just curious, how many computers have you designed? I spent 40 years doing just that. I understand the problems of hardware design to a level that very few people on the planet even approach. Most computers are designed by teams of engineers. I've done the entire job repeatedly by myself. One of the engineers I worked with told me years later: "I didn't understand how good you were until I saw an entire team of engineers fail to do something that I saw you easily do by yourself." I'm using PC's in this description because the rest of you are familiar with them, not because of limitations on my part.
