Harvey Weinstein Will Challenge His Firing at Next Board Meeting, Because, Well, His Contract Did Say That Sexual Harassment Was Not a Firing Offense


As disclosed yesterday, The Weinstein Company's contract with Harvey Weinstein made sexual harassment a non-firable offense -- all Harvey Weinstein had to do was pay the company for any money damages his harassment caused them, plus an escalating penalty ($250,000 for the first offense, $500,000 for the second, $750,000 for the third, $1,000,000 for the fourth). So long as he paid the Weinstein Company its actual settlement costs plus some money to make them feel good about permitting sexual harassment, everything was cool.

To be fired, he'd have to be indicted or convicted of a crime. Which he hasn't been. So far.

But... in the aftermath of the rape claims, the company did fire him.

Which doesn't seem like they're allowed to do. Given that they wrote him a contract specifically allowing him to molest to his heart's content, so long as he didn't get arrested for it and kept paying off the company for the hassle.

So Weinstein might challenge his firing -- and he might actually be in the right, as far as that goes.

We're told Weinstein's position -- he did not violate his current contract, which he signed in October 2015. He maintains no sexual harassment complaints were lodged after he signed the contract. We're told TWC never gave Weinstein it's reason for the firing.

What's more, we're told Glaser will argue Weinstein could only be terminated after mediation and arbitration.

We're told the company's position is that it had a right to fire Weinstein immediately and he has a right to challenge the decision in mediation and arbitration.

That last part makes no sense to me, but who knows. This is a very special kind of contract.

Here's the thing, though: There may not be a Weinstein Company even in existence within a few weeks.

The company is likely to become bankrupt due to creative types refusing to work with them, and talent agencies barring their own roster of creatives from working with them.

Agents did not want to be on record, but reactions ranged from not wanting to risk the wrath of clients in the event of more fallout by putting them into TWC projects, and others said that if there was evidence of Weinstein benefiting directly or indirectly in projects, the agencies wanted no part of it. They felt even a re-branded company will carry a tarnish, and hoped that projects would be sold off.

Some writers are demanding that projects currently being developed by The Weinstein Company be released back to them, so they can take them somewhere that isn't associated with institutional molestation.

An employee of TWC reached by Deadline would not speak on the record, but described an office environment where already flagging morale has curdled into anger at Weinstein for acting without a thought to the consequences for the many troops charged with executing his vision. The growing consensus is that job security is tenuous at best.

A second chance seems highly unlikely, at least in any version of the company that has existed over the past 12 years. One high-level media executive likens the situation to "a run on the bank." The person expounded to Deadline, "Banks aren’t going to continue to lend to them. You have agencies saying they will not allow talent to appear in their movies even if they re-brand. The equity is likely to get wiped out."

Bob and Harvey Weinstein together have a 42% stake in the company, so they'll get 42% of whatever assets remain in the company if it dissolves, but as far as a salaried job, I don't think the company is going to be providing salaried jobs for anyone for much longer, let alone the guy who blew it all up.

Update: Just reported: Weinstein Company facing either a sale or a shutdown.

The Weinstein Company is exploring a sale or shutdown as it reels from the fallout of allegations of serial sexual misconduct by its ousted co-chairman Harvey Weinstein, The Wall Street Journal reported on Friday.

The film and television studio is unlikely to continue as an independent entity, the Journal said, citing a person close to the firm.

I'm borderline gleeful at the pain being induced on Hollywood right now. Hollywood is largely boring, producing product instead of art (accidentally making some occasionally).

Better to have no center to American filmmaking that controls the American version of the medium.

This seems to go way beyond mutual indemnity provisions for E&O stuff. They KNEW what he was, contracted him anyway, and gave him a path to buy his way out of it. If this exposed any of their people to Weinstein's predations, then they could be looking at punitive damages from a plaintiff.

243 Getting into the "industry" is very big in my area. There are lots of carpooling trips into NYC for acting lessons, talent related visits, pictures and auditions.

This type of behavior has always been discussed among the parents. Some write it off because they know the principles who live in the area. But that doesn't make it any less dangerous. The devil you know and all that.

I once told them my kid would not be going anywhere without a chaperone. That "chaperone" btw, was former USASOF and wouldn't leave their side. Ever.

They said that wouldn't fly. I said see ya.

But some of them would sell their soul for this, which is sad.

Now ou know why I feel especially empathetic to the victims.

Disagree.

First, nothing in the contract compels Weinstein to commit a criminal act. That would be unenforceable.

If the language being circulated is accurate, the contract does two things.

First, it requires Weinstein to indemnify the company if the company pays out (in judgment, settlement or just attorney fees) on a claim that results in a judgment or settlement against Weinstein. Since it is virtually guaranteed that the employer will be sued in these cases alongside the harassing employee, there is nothing unreasonable or even unusual about this.

Second, it penalizes Weinstein by imposing an additional fine payable to the company if Weinstein pays out on a claim to a plaintiff. I don't see a problem with this eitehr since it could be seen as supportive of public policy since it gives Weinstein a financial incentive not to dick the help.

The problem is in the provision that allows Weinstein to stay at the company as long as he meets these other requirements. One could argue that a company (who is jointly and severally liable for harassment along with harassing managerial employee) should always be free to fire a serial harasser. While this provision doesn't make the contract illegal, it will look terrible to a jury. I would not want to have to defend the company on it.

No it is not. It is not a crime per se, but it 'against public policy" to contract for a crime. So the contract is not enforceable. In addition in this particular contract incentivized the company to facilitate his actions because they got a bonus for each act and that bonus escalated with each subsequent act. Wow. Sick. This is what bothers me most about our legal system.

I worked for a short period of time for the probation and parole system. Among stipulations for sex offenders were no computer, can't live near playgrounds or schools, can't have Halloween decorations up, etc.

I asked one of the judges in whose court I served why these stipulations were in place while we were having lunch one day. He said that they couldn't be trusted around kids anymore. I asked him why we let them out of jail if we fully acknowledge they are not fit to re-enter society. He said he didn't know but that the cake he was eating was really good, had I ever tried it before.

I lasted about two more months in that job before I resigned.

There are women like this all over. Some of it is the "I had to go through it and deal with it, so you can too." It's pretty disgusting.

The difference in Hollywood is the power & money. The whole thing is rotten to the core. 30 years, books written, people knowing...it's beyond comprehension. Like you said, institutionalized. Normalized. Which is what TV & movies seem to have become. Normalizing destructive, even evil, behaviors.

He may not have that much cash to shelter. According to the DM, his high-end real estate is heavily mortgaged, and he just had to take out a $4 million, high-interest bridge loan. He recently sold his mom's house at a big discount, and seems to be desperate for quick cash.

As for his job, what is the point of suing a company that Pervy owns half of, and that probably isn't even going to exist a year from now anyway? Any damages he was awarded he would basically be paying to himself, and he won't have the money to pay himself, since his company will have to spend whatever assets it has left paying off all of the lawsuits spawned by Pervy's disgusting conduct. Suing his own company, which he has effectlvely destroyed, is just silly at this point. Pervy just needs to crawl off into oblivion somewhere and pray he doesn't end up doing hard time in some NY prison.

Me too! I hope he actually wins his job back! It will keep this in the new longer, keep the spotlight in the garbage Hollywood is and maybe a few more rats scurrying around will bring some other big names down in the process.
A side benefit might be some of these Hollywood limo libs will keep their mouths shut for a while.
I'm personally waiting for the Jimmy Kimmmel scandal to break.
